本次招标合同涉及废弃物主要包含甲方生产、研发、试验等过程中产生的无使用价值的物料物资，主要包含生产报废物类（包含废品配件、废建筑材料等），废弃包装物料等。按照这些废弃物的种类及处理方式分为以下项目进行描述及约定。

项目1  Project1 生产报废物类Production of scrap materials

1、概念范畴Conceptualcategory

1.1、废品配件The wasteparts

废品配件是指甲方在生产、研发、试验产品等过程中产生的废品金属件、废品PP件、废品ABS毛坯、废品烤漆件等只能作为原材料循环利用的废品件。

  Wasteparts refer to the waste metal parts, waste PP parts, waste ABS blank, wastepaint parts and other waste parts that can only be recycled as raw materialsproduced by party A in the process of production, research and development andtest products.

1.2、废建筑材料building materials

      废建筑材料是指设备更新及建筑物更新替代下来无使用价值的废弃物

     Buildingmaterials refer to the wastes that are replaced by equipment renewal andbuilding renewal and have no use value

2、约定内容Contract Items:

2.1、甲方需将废弃物利用设备进行深度破坏后再以再生材料的方式出售给乙方。   Party A shall sell the waste utilization equipmentto party B in the form of recycled materials after deep damage。

2.2因市场价格波动较大，为保障乙方权益，乙方须按照下表价格区间进行报价。甲、乙双方共同对废弃物进行分类过磅称重，乙方凭称重确认单到财务部依据下表价格进行结算。后由财务部相关人员在出门票上签字确认。

  As the market price fluctuates greatly, PartyB shall, in order to protect the rights and interests of Party B, quoteaccording to the price range in the table below.Party A and Party B shalljointly classify and weigh the wastes, and Party B shall submit the weighingconfirmation form to the financial department for settlement according to theprices in the table below.After that, the relevant personnel of the financedepartment will sign on the ticket for confirmation.

项目2 Project 2 — 废弃包装物料solidwastes

1、概念范畴Conceptualcategory

废弃包装物料是指甲方生产过程中废弃的到货配件的外包装物料，主要包含废木托、纸箱、塑料包装袋、塑料泡沫板、塑料打包带等。

Waste packaging materials refer to the outer packagingmaterials of the received parts discarded during the production process ofParty A, mainly including waste wood brackets, cartons, plastic bags, plasticfoam boards, plastic packing belts, etc.

2、项目内容ProjectItems:

2.1乙方按甲方每月生产的车辆数（含出口CKD套件）× __ 元/辆支付现金。本月费用在下月10日前支付。同时为了维护乙方公司利益不受损害，甲方承诺如果甲方某月产量不足1000辆，乙方可以不支付当月费用。

The payment will be settled in cash byParty B to Party A according to RMB__/vehicleevery month（Including export suite CKD）. The payment of presentmonth will be settled before 10^th in the next month. For Party B’sbenefit, it is agreed by Party A that if the quantity of vehicles produced isless than 1000 in a certainmonth, there is no need for Party B to pay the charge for the month.

2.2、乙方按以下价格回收甲方工厂中的废弃包装物料。

Party B will collect discarded packaging materialsfrom Party A according to the following prices:

具体工作要求：Specificwork requirements

3.1 乙方需在甲方生产现场安排1名管理人员+足够服务人员，这些人员都需进行安全培训才能上岗。上岗时需穿戴必要防护用品，如劳保鞋等。因乙方人员不遵守安全规程造成的意外伤害事故，甲方免责。为此，特要求乙方为全部人员购买足额的意外伤害险。

  Party B shallarrange one manager + sufficient service personnel at Party A's productionsite, and these personnel shall receive safety training before taking up theirposts.Necessary protective equipment should be worn when working, such as laborprotection shoes, etc.Party A shall not be liable for any accidental safetyaccident caused by Party B's non-compliance with safety regulations.To thisend, Party B is required to purchase a full amount of accident insurance forall personnel.

3.2乙方派遣的现场服务人员需完全服从甲方的现场管理，及时收集、整理、清运包装废弃物，，不得为此耽误甲方正常生产。否则，甲方保留对此进一步索赔的权力。

  he on-site servicepersonnel dispatched by Party B shall fully obey Party A's on-site management,collect, sort out and clean up packaging wastes in a timely manner, and shallnot delay the normal production.Otherwise, Party A reserves the right to makefurther claims.

3.3甲方负责为乙方提供废弃物堆放区域.该区域的消防安全与现场管理由乙方负责，并承担由此产生的后果。

Party A willprovide waste stock area for Party B. The Party B should in charge of sitemanagement and shoulder consequences caused.

3.4对于甲方与供货商商定的现有包装物回收方案，乙方需无偿提供拆箱及收集等工作，不得私卖、损坏。否则甲方有权终止合同。

    For the material recycling plan negotiatedby Party A and the supplier, Party B should provide unpacking and collectingworking etc free of charge. It should not have illicit sale or damage.Otherwise, Party A have the right to close the contract.

3.5为防止废品配件流入市场，被不法商贩以备件销售或其它方式非法牟利，特单独制定以下条款：In order toavoid waste parts go into market and be used by illegal venders as spare partsor other profit making purposes, follows items are enacted:

3.5.1、甲方以再生材料方式出售给乙方的废品部件，乙方只能销售给专业的废品处理公司彻底销毁然后作为再生材料回收，不得以任何方式销售给与摩托车业务相关的公司或个人、进行翻新出售配件或非法拼装行为。

     The waste partswhich are sold by Party A to Party B as recycled materials can be only sold toprofessional waste disposal companies. They shall be completely destroyed andused as recycling materials. Any case of selling the parts to the company or individualperson related to motorcycle business is forbidden.

3.5.2、 甲方在出售废品配件前，应该对所有部件进行必要的销毁和破坏。作为业务合作伙伴，乙方有义务对甲方销毁、破坏不彻底的部件进行再销毁，或监督第三方公司进行进一步的销毁，监督并避免第三方销售给与摩托车业务相关的公司或个人、进行翻新出售配件或非法拼装行为，以维护双方的合法权益。

      Party A shallgive necessary destroy and damage to all parts before selling. As a businesspartner, Party B is responsible to re-destroy the parts which are notcompletely destroyed by Party A. Party B shall supervise the third company tore-destroy and avoid the third company sell the parts to the company or individualperson related to motorcycle business for renovation or illegal assembly.

3.5.3、 如果乙方发现任何第三方上述非法牟利行为，有责任立即通知甲方行政管理部门，并有义务协助甲方及公安部门进行相关的调查取证工作。

    If Party B findsany of above illegal profit-making actions, it has the responsibility to informthe administration department of Party A and has the obligation to assist PartyA and police for related investigation and evidence collection.

3.5.4、如经查实乙方存在违反以上条款之行为，双方协商解决无果则甲方有权立即终止合同，同时根据不法行为对甲方造成的损害程度、甲方有权对乙方做出追加索赔和处罚。

  If it is verifiedthat Party B has any action which break above regulations, Party A has theright to terminate the contract if the consultation fails. In the meantime,Party A has the right can ask Party B for additional claims and punishment.
